Today, Justice A.A Halilu of the High Court of the Federal Capital territory upheld our preliminary objection and struck out the suit of the Claimant. In agreeing with our submissions, My lord upheld our arguments that the Claimant not being in existence at the time when the suit

was instituted, lacks the requisite locus standi to commence the proceedings. A brief factual background: the claimant filed the suit against our client and only proceeded, seven months later, to incorporate the compan with the Corporate Affairs Commission. At the time the action

was filed, the company simply did not exist in the eyes of the law. May I take the liberty to echo the cardinal principle of juristic personality for corporate entities. That is, a company only acquires juristic personality upon incorporation. It is only from that moment that it

becomes clothed with the legal capacity to sue and be sued. Indeed, section 37 of Companies and Allied Matters Act makes this position excellently clear. Surely, where a party lacks the requisite locus stand to institute an action, the defect goes to the root of the matter and

robs the court of jurisdiction to entertain it. We remain grateful to my lord, for the industry, ingenuity and well considered ruling. We are most obliged!
