Redwire x Edge | Merger Amendment Original: $150m cash upfront $775m stock Amendment: $160m cash $60m cash upfront $100m promissory note @ 15-18% $765m stock $5m holdback $90m committed debt refinancing $RDW

Put simply; Redwire was likely having trouble securing the $150m cash needed to close. The amendment: 1. reduces immediate cash needed ($150 → $60m), 2. shifts $100m of the deal to the seller via promissory note 3. provides $90m in financing $RDW

Rocket Lab $RKLB Form 4 🚨 Another set of F4s have been reported from Arjun Kampani and Frank Klein. Including last week's disposals, QoQ share count change reflects -7.8% and 3.7%, respectively. Similar to the previous F4s, the selling of shares was pre-planned.
